Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between ArSa Nexus ("Company," "we," "us," or "our"), a company registered in Austin, Texas, USA, and you ("Restaurant," "you," or "your") regarding your use of MenuMemoir ("Service"), a restaurant ordering and management platform accessible at menumemoir.com.

By accessing or using MenuMemoir, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

MenuMemoir provides restaurants with a QR code-based digital menu, real-time order management and kitchen display system, customer-facing ordering interface, menu management tools, and order tracking and bill request functionality.

3. Account Registration

To use MenuMemoir, you must create an account with a valid email address and password. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate, current, and complete information during registration. You must be at least 18 years of age to create an account. ArSa Nexus reserves the right to suspend or terminate accounts that violate these Terms.

4. Free Trial and Subscription

Free Trial: New restaurant accounts receive seven (7) days of free access to MenuMemoir at no charge. No credit card is required during the free trial period.

Subscription Plans: Following the free trial, continued use of MenuMemoir requires a paid subscription. Plans start at PKR 4,999 per month per restaurant location for the first two months, then PKR 9,999 per month from month three onwards.

Payment: Payment terms and accepted methods will be communicated before your free trial expires. ArSa Nexus reserves the right to modify pricing with thirty (30) days advance notice.

Cancellation: You may cancel at any time by contacting arsanexus@gmail.com. Cancellation takes effect at the end of the current billing period. No refunds for partial months.

5. Acceptable Use

You agree not to use MenuMemoir to violate any applicable law, submit false or fraudulent information, attempt unauthorized access to the Service, interfere with or disrupt the Service, upload malicious code, or use the Service for any purpose other than legitimate restaurant operations.

6. Your Content

You retain ownership of all menu content, photos, and restaurant information you upload. By uploading content, you grant ArSa Nexus a non-exclusive license to host and display it solely for providing the Service. You are solely responsible for the accuracy of your menu information.

7. Customer Orders and Payments

MenuMemoir facilitates order communication between your customers and your kitchen. ArSa Nexus is not a party to any transaction between you and your customers. All payment collection from customers is the sole responsibility of the restaurant. MenuMemoir does not process, handle, or hold customer payments.

8. Availability

ArSa Nexus will make reasonable efforts to keep MenuMemoir available. We do not guarantee uninterrupted service. We are not liable for any losses arising from service interruptions.

9. Intellectual Property

MenuMemoir and its design, code, and branding are the exclusive property of ArSa Nexus. You may not copy, modify, distribute, or reverse engineer any part of the Service. "MenuMemoir" is a trademark of ArSa Nexus.

10. Disclaimer of Warranties

The service is provided "as is" and "as available" without warranties of any kind. ArSa Nexus does not warrant that the service will be uninterrupted, error-free, or secure.

11. Limitation of Liability

To the maximum extent permitted by law, ArSa Nexus shall not be liable for any indirect, incidental, special, or consequential damages. ArSa Nexus's total liability shall not exceed the amount you paid in the three months preceding the claim.

12. Governing Law

These Terms are governed by the laws of the State of Texas, United States of America. Disputes shall be resolved through binding arbitration in Austin, Texas, USA.

13. Changes to Terms

We may modify these Terms at any time with fourteen (14) days advance notice via email or notice within the Service.
